Terms of Service

1. Acceptance of Terms

By accessing or using OpenMat's mobile applications, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

OpenMat is an academy management platform designed for martial arts academies, CrossFit boxes, yoga studios, and similar fitness organisations. The Service includes:

  • Member management and profile tracking
  • Class scheduling and attendance tracking
  • Belt rank and progression management
  • Billing and payment processing (via Stripe)
  • Communication tools (email, notifications)
  • Member portal and check-in features

3. Accounts

3.1 Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the security of your account credentials and for all activity under your account.

3.2 Organisation Accounts

The person who creates an organisation on OpenMat is the organisation owner. The owner may invite staff members and grant them varying levels of access. The owner is responsible for the actions of all users within their organisation.

3.3 Member Accounts

Academy staff may create member profiles on behalf of their members. Members may also be invited to access their own profile through the member portal. Academy administrators are responsible for the accuracy of member data they enter.

4. Subscriptions and Payments

4.1 Free and Paid Plans

OpenMat offers a free plan with limited features and paid subscription plans with additional capabilities. Paid plans are billed monthly or annually through the Apple App Store or Google Play Store.

4.2 Pricing

Subscription prices are displayed in the app and on our website. Prices may vary by region and are determined by the respective app store. We reserve the right to change pricing with reasonable notice. Price changes do not affect the current billing period.

4.3 Billing

Subscriptions are managed by Apple or Google and are subject to their respective terms and billing policies. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

4.4 Refunds

Refunds for app subscriptions are handled by Apple or Google according to their refund policies. Contact the respective app store for refund requests.

4.5 Member Billing via Stripe

Academy owners who use Stripe integration to bill their members are responsible for their own billing practices, refund policies, and compliance with applicable payment regulations. OpenMat facilitates the Stripe connection but is not a party to the billing relationship between the academy and its members.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to other accounts or systems
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, crawl, or use automated tools to extract data from the Service
  • Resell, sublicense, or redistribute the Service without written permission
  • Store or transmit content that infringes on intellectual property rights
  • Use the Service to send unsolicited communications (spam) to people who are not members of your academy

6. Your Data

6.1 Ownership

You retain ownership of all data you enter into the Service. We do not claim ownership of your member data, schedules, attendance records, or other content.

6.2 Licence to Us

By using the Service, you grant us a limited licence to store, process, and display your data solely for the purpose of providing and improving the Service.

6.3 Data Portability

You may request an export of your data at any time by contacting support@openmat.fit.

6.4 Data Processing

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by OpenMat and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

"OpenMat", the OpenMat logo, and related marks are trademarks of OpenMat. You may not use them without prior written consent.

8. Third-Party Services

The Service integrates with third-party providers including Stripe, Apple, and Google. Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime.

10. Termination

10.1 By You

You may stop using the Service and cancel your subscription at any time. Cancellation of a paid plan takes effect at the end of the current billing period.

10.2 By Us

We may suspend or terminate your access to the Service if you violate these Terms, engage in abusive behaviour, or if your account remains inactive for an extended period. We will provide reasonable notice when possible.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your data will be retained for 90 days to allow for reactivation, after which it will be permanently deleted. You may request an export of your data before or during this period.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components. You use the Service at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, OpenMat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold OpenMat harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Australia.
